Stephen G. Nesbitt

Steve Nesbitt focuses his practice in three primary areas: commercial, real estate and general business transactions. Additionally, he has significant experience in strategic business planning and consulting as well as dispute resolutions. Steve’s corporate practice consists of counseling entrepreneurs, investors, shareholders and financiers on various issues such as: the formation, entity selection, capitalization, capital structure and financing of new and existing businesses; mergers, acquisitions and divestitures, creating and implementing asset protection plans and risk management solutions; business succession planning; buy-sell agreements; shareholder agreements; contractual review and negotiations; licensing agreements; trademark registrations, and general counseling on corporate governance, employment matters and compliance with legal and regulatory changes affecting clients’ businesses. In his real estate practice, Steve advises developers, sponsors, investors, lenders and corporate clients in land acquisitions and divestitures; construction; financing; and the leasing of diverse properties, including hotels, offices, industrial and warehouse developments, multi-family properties, and multi-use projects.  Steve regularly assists clients in structuring, negotiating and documenting complex 1031 exchange transactions, tenant in common transactions, conduit loans, tax increment financing and municipal bond financing. Additionally, he has experience in land use matters including entitlement, zoning and building code matters, and the preparation and negotiation of declarations of covenants, conditions, restrictions and easements.  Steve also counsels and advises clients in a wide variety of real estate related disputes, including landlord and tenant disputes, mechanic’s lien claims and construction disputes,  foreclosure, receivership and bankruptcy matters, and partition actions.

  • Outside counsel to a franchisor of beauty salons, a Spanish language publication and broadcasting company, a water sports park operator, a manufacturer of garden and landscaping tools, and a North American retailer of specialty pet supplies and services.
  • Local counsel to international retailer on various site acquisition, disposition and operations matters.
  • Regular representation of a private equity and asset management firm with over $1 billion in assets and specializing in real estate development and operation of hotels and sports clubs
  • Lead counsel in the litigation, settlement and release of multiple mechanic’s lien claims filed against client’s multi-million dollar manufacturing facility
